1. Acceptance of Terms

By accessing our website or purchasing a service plan (Grow, Scale,
Enterprise or Custom), you agree to be bound by these Terms and all operating rules,
policies, and procedures we may publish. If you do not agree, please do not use our
services.

2. Description of Service

HOOKd is a high-performance User-Generated Content (UGC) agency. We provide a hands-
off growth system that connects brands with a global network of vetted creators to produce
authentic, high-velocity video assets.

Our services include, but are not limited to:

• Strategy Audits: Analysing your product to identify viral hooks.

• Creator Casting: Matching your brand with creators based on specific demographics,
  languages, and target regions.

• Content Production: Managing the creation and delivery of video assets.

• Daily Optimisation: Monitoring campaign performance and iterating on strategy.

3. Service Commitment & Duration

• Minimum Commitment: To ensure consistent algorithmic learning and effective scaling,
  all HOOKd campaigns require a mandatory 3-month operational commitment from the
  start date.

• Renewal: Unless otherwise specified in your specific plan, services will automatically
  renew on a monthly basis after the initial 3-month term until cancelled by either party
  with a 2 week written notice.

4. Payment and Commercial Terms

• Billing: Payments must be made in advance according to the billing cycle of your
  selected tier or custom plan.

• Non-Refundable: Given the customised nature of creator casting and strategy work, all
  fees paid are non-refundable.

• Early Termination: If you choose to terminate services prior to the completion of the
  mandatory 3-month commitment, you remain liable for the full balance of the remaining
  time in the commitment period.

• Pricing Changes: HOOKd reserves the right to modify pricing or campaign tier
  structures with a 1 month notice to existing clients.

5. Intellectual Property & Asset Ownership

• Client Ownership: Unlike traditional influencer rental models, you retain 100%
  ownership and equity rights to every video asset and piece of content we deliver to you.
  You are free to repurpose, repost, and run ads with these assets across any platform
  worldwide in perpetuity.

• HOOKd License: By using our services, you grant HOOKd a non-exclusive, royalty-free
  license to display the created content in our portfolio, case studies, and marketing
  materials to demonstrate our capabilities, unless a Non-Disclosure Agreement (NDA)
  stating otherwise has been signed.

6. Communication & Workflow

• Dedicated Channels: Upon onboarding, HOOKd will establish a dedicated
  communication channel (e.g., Slack, WhatsApp, or Email Group) for your team. This will
  be the primary method for real-time updates and "Post-HOOKd" workflow management.

• Strategy Syncs: We may schedule bi-weekly meetings to review performance data and
  optimisation strategies.

• Direct Contact: To maintain the integrity of our network, all communication with HOOKd
  creators must be facilitated through HOOKd. You agree not to circumvent HOOKd to
  directly hire or contract our creators following the end of your campaign.

7. Creative Control & Optimisation

• The "Hands-Off" System: While we welcome brand guidelines and specific product
  focuses, HOOKd retains strategic control over the creative direction (scripts, hooks,
  angles). This is to ensure we can effectively "hook" organic users based on our data-
  driven "Daily Optimisation" process.

• Approvals: We will provide a workflow for reviewing assets. Unreasonable delays in client
  feedback may impact campaign timelines.

8. Limitation of Liability

• Performance: While we use proven strategies to drive growth, organic social media
  algorithms are third-party systems. Therefore, HOOKd cannot guarantee specific
  numbers regarding viral reach, views, or installs.

• Liability Cap: HOOKd shall not be liable for any indirect, incidental, or consequential
  damages. Our total liability for any claim arising out of these Terms shall not exceed the
  amount paid by you to us.

9. Confidentiality

We will treat all client internal data, metrics, and strategic goals discussed during
consultations and bi-weekly meetings with strict confidentiality. We will not share your
sensitive business data with third parties without consent, except as required to execute
the campaign (e.g., briefing creators) or by law.

10. Termination

HOOKd reserves the right to suspend or terminate your access to the service at any time for
conduct that violates these Terms, including harassment of staff or creators, or failure to
settle invoices.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England
and Wales. Each party irrevocably agrees that the courts of England and Wales shall have
exclusive jurisdiction to settle any dispute or claim arising out of or in connection with
these Terms.
